1. INTRODUCTION AND BINDING NATURE
1.1 These Terms and Conditions ("Terms") govern access to and use of the Matric2Tertiary platform ("Platform"), owned and operated by ROCVEST Systems (PTY) Ltd ("ROCVEST", "the Company").
1.2 These Terms constitute a legally binding agreement between ROCVEST and any person accessing or using the Platform ("User").
1.3 By accessing, registering on, or using the Platform, the User: Acknowledges having read and understood these Terms; and Agrees to be bound by them.
1.4 If the User does not agree to these Terms, such User must immediately cease use of the Platform.
2. NATURE AND SCOPE OF THE PLATFORM
2.1 The Platform is an educational support system designed to assist learners in navigating potential pathways from secondary education to tertiary study.
2.2 The Platform provides, inter alia: Admission Point Score (APS) estimations; Academic pathway mapping; Faculty and programme guidance; Data-driven and automated recommendations.
2.3 The Platform does not: Submit applications to tertiary institutions; Guarantee admission into any institution; Act as an agent of any university or college.
2.4 The Platform further facilitates access to independent tutoring services provided by third-party service providers ("Tutors"), including the ability to book, schedule, and make payment for such services through integrated payment solutions. ROCVEST acts solely as a technology intermediary and does not provide tutoring services, employ Tutors, or act as an agent of any Tutor.
3. ELIGIBILITY AND CAPACITY
3.1 Use of the Platform is open to natural persons.
3.2 Where the User is a minor (under the age of 18 years): Use of the Platform must be under the supervision of a parent or legal guardian; The parent or guardian consents to these Terms on behalf of the minor.
3.3 The User warrants that all information provided is accurate and complete.
4. USER REGISTRATION AND ACCOUNT SECURITY
4.1 Access to certain features may require account registration.
4.2 The User agrees to: Provide accurate and current information; Maintain the confidentiality of login credentials; Notify ROCVEST of any unauthorised access.
4.3 The User remains responsible for all activities conducted through their account.
5. USER OBLIGATIONS AND PROHIBITED CONDUCT
5.1 The User undertakes not to: Provide false, misleading, or inaccurate information; Use the Platform for unlawful purposes; Interfere with or disrupt system functionality; Attempt unauthorised access to systems or data; Reverse engineer or exploit the Platform.
5.2 Any breach of this clause may result in suspension or termination of access.
5.3 The User undertakes not to initiate unjustified chargebacks or fraudulent payment disputes. ROCVEST reserves the right to suspend or terminate access where such conduct is detected.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 All intellectual property associated with the Platform, including: Software; Algorithms; Content; Designs and layouts; remain the exclusive property of ROCVEST or its licensors.
6.2 The User is granted a limited, non-exclusive, non-transferable right to use the Platform for its intended purpose.
6.3 No rights, title, or interest in the Platform are transferred to the User.
7. DATA PROCESSING AND PRIVACY
7.1 ROCVEST processes Personal Information in accordance with: The Privacy Policy; Applicable data protection laws, including POPIA.
7.2 By using the Platform, the User consents to such processing.
7.3 Data retention is governed by the Data Retention Policy.
8. ACCURACY OF INFORMATION AND RELIANCE
8.1 The Platform relies on data provided by the User and automated systems.
8.2 ROCVEST does not warrant that: Information is complete, accurate, or current; Outputs will reflect actual admission requirements.
8.3 The User acknowledges that all outputs are: Informational in nature; Subject to independent verification.
9. LIMITATION OF LIABILITY
9.1 To the fullest extent permitted by law, ROCVEST shall not be liable for any loss or damage arising from: Use of the Platform; Reliance on Platform outputs; Inaccuracies in information or recommendations.
9.2 ROCVEST shall not be liable for: Indirect or consequential damages; Loss of opportunity or educational prospects; Loss of income or future earnings.
9.3 All services facilitated through the Platform are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
9.4 Nothing in these Terms excludes liability where such exclusion is not permitted under the Consumer Protection Act 68 of 2008.
10. DISCLAIMER INCORPORATION
10.1 The Disclaimer Policy forms an integral part of these Terms.
10.2 In the event of any inconsistency, the Disclaimer shall apply to the extent of limiting liability.
11. SERVICE AVAILABILITY AND SYSTEM LIMITATIONS
11.1 ROCVEST does not guarantee: Continuous or uninterrupted access; Error-free operation.
11.2 The Platform may be suspended for: Maintenance; Upgrades; Security concerns.
12. SUSPENSION AND TERMINATION
12.1 ROCVEST reserves the right to: Suspend or terminate access without notice where there is a breach of these Terms.
12.2 The User may terminate use at any time.
12.3 Termination does not affect accrued rights or obligations.
12.4 ROCVEST may suspend or terminate access where a User or Tutor engages in fraudulent, abusive, or non-compliant conduct, including misuse of payment systems or platform services.
13. INDEMNITY
13.1 The User indemnifies and holds ROCVEST harmless against any claims, damages, or losses arising from: Misuse of the Platform; Breach of these Terms; Reliance on inaccurate information provided by the User.
14. THIRD-PARTY SERVICES
14.1 The Platform may incorporate or rely on third-party services.
14.2 ROCVEST does not: Control such services; Accept liability for their performance.
15. ELECTRONIC COMMUNICATIONS
15.1 By using the Platform, the User consents to receiving communications electronically.
15.2 Records generated through the Platform shall constitute admissible evidence in terms of the Electronic Communications and Transactions Act 25 of 2002.
16. TUTOR QUALIFICATION, PLATFORM ROLE AND NON-ENDORSEMENT
16.1 ROCVEST Systems (Pty) Ltd ("ROCVEST") and Matric2Tertiary provide a technology platform through which Users may access tutoring and academic support services offered by independent Tutors, tutoring companies, fulfilment partners, or third-party academic service providers.
16.2 Tutors and tutoring partners remain independent service providers and are not employees, representatives, agents, or partners of ROCVEST unless expressly agreed otherwise in writing.
16.3 ROCVEST and/or its tutoring partners may conduct limited onboarding, verification, operational, safeguarding, or compliance procedures relating to Tutors; however, Users acknowledge that ROCVEST does not independently guarantee the qualifications, accreditation, certifications, suitability, experience, conduct, availability, academic outcomes, or performance of any Tutor.
16.4 The inclusion, allocation, recommendation, listing, scheduling, or availability of any Tutor on the Platform shall not constitute an endorsement, accreditation, guarantee, approval, or representation by ROCVEST regarding such Tutor.
16.5 Users acknowledge and agree that they remain responsible for evaluating the suitability of tutoring services for their particular academic needs, subject requirements, educational objectives, and learning preferences prior to booking or participating in tutoring services.
16.6 Tutoring services facilitated through the Platform are intended to provide academic support and educational assistance only. Neither ROCVEST, Matric2Tertiary, nor any tutoring partner guarantees: specific marks; examination results; APS improvements; subject mastery; tertiary admission; scholarships; or academic performance outcomes.
16.7 ROCVEST reserves the right to suspend, restrict, remove, or replace Tutors from the Platform where reasonably necessary for operational, safeguarding, compliance, reputational, conduct-related, or learner protection purposes.
17. TUTORING STRUCTURE, CONTENT COVERAGE AND CLASS SCHEDULING
17.1 Structured Tutoring Model
Tutoring services facilitated through the Platform may follow structured academic schedules, lesson plans, curriculum-aligned programmes, revision frameworks, examination preparation schedules, or topic calendars determined from time to time by Matric2Tertiary and/or its tutoring partners. Tutoring services may be provided through: group-based tutoring sessions; one-on-one tutoring sessions; revision workshops; examination preparation sessions; academic support programmes; or other educational support formats introduced from time to time.
17.2 Topic Coverage and Lesson Sequencing
Learners acknowledge that tutoring sessions may cover different subjects, modules, concepts, chapters, examination preparation material, revision content, or curriculum components during different stages of the academic term or year. Specific topics, concepts, chapters, or subject areas requested by a learner are not guaranteed to be covered during any particular lesson, session, programme period, or tutoring cycle unless expressly stated otherwise in writing. Topic coverage, lesson sequencing, and curriculum progression may vary based on: curriculum requirements; tutor lesson planning; academic schedules; learner participation levels; examination timelines; operational considerations; group lesson structures; and educational priorities determined by the Platform or tutoring partners.
17.3 Academic Calendars and Indicative Content Planning
Where applicable, Matric2Tertiary and/or its tutoring partners may make available indicative lesson schedules, academic calendars, revision frameworks, topic plans, curriculum outlines, or educational guidance materials for informational and planning purposes. Such schedules, calendars, or topic plans are indicative only and may be amended, adjusted, substituted, postponed, rescheduled, or revised from time to time without prior notice where reasonably necessary.
17.4 Group-Based Tutoring and Learner Allocation
Certain tutoring services operate through structured group-based learning models intended to improve affordability, accessibility, learner participation, operational sustainability, and educational reach. Learners acknowledge that: learners may join tutoring programmes at different stages of an academic cycle; learners may not all commence or conclude tutoring services at the same time; lesson progression may continue irrespective of individual learner attendance history; tutoring sessions may include learners with varying levels of familiarity with previous lesson content; and ongoing lesson schedules may continue according to the applicable academic structure or timetable.
17.5 Scheduling, Capacity and Operational Allocation
Matric2Tertiary reserves the right to: allocate learners to available tutoring groups or sessions; determine class structures and learner placement; manage tutoring schedules and tutor allocation; limit class sizes where reasonably necessary; consolidate, postpone, reschedule, combine, substitute, or cancel sessions; introduce minimum participation thresholds for certain classes or programmes; and make operational scheduling decisions necessary for effective platform management and educational delivery. Tutoring availability, lesson scheduling, tutor allocation, and programme continuity may be affected by: learner demand; tutor availability; academic scheduling; operational capacity; technical considerations; or other operational requirements.
17.6 Learner Responsibility and Participation
Learners acknowledge that academic improvement, educational development, subject understanding, examination preparedness, and tutoring effectiveness depend on multiple factors including: learner attendance; active participation; independent study; revision efforts; engagement with lesson material; consistency of attendance; and ongoing academic commitment. Participation in isolated, occasional, or limited tutoring sessions may not necessarily result in immediate academic improvement, examination preparedness, or mastery of specific subject content.
17.7 No Guarantee of Academic Outcomes
Tutoring services facilitated through the Platform are intended to provide educational support and academic assistance only. Neither ROCVEST Systems (Pty) Ltd, Matric2Tertiary, nor any tutoring partner guarantees: specific marks or grades; examination results; APS improvements; subject mastery; academic progression; scholarships; tertiary admission; or any particular educational or academic outcome.
17.8 Platform and Operational Discretion
Matric2Tertiary reserves the right to reasonably amend, modify, expand, restructure, or discontinue tutoring formats, lesson structures, scheduling models, package structures, curriculum support approaches, or operational delivery methods from time to time in order to support platform sustainability, educational effectiveness, operational efficiency, or learner accessibility.
18. PAYMENT PROCESSING AND THIRD-PARTY PROVIDERS
18.1 ROCVEST facilitates payments for services through the Platform but does not process or store full financial card details.
18.2 All payment transactions are processed through secure, authorised third-party payment service providers.
18.3 By using the Platform, the User acknowledges and agrees that: ROCVEST does not act as a financial institution or payment provider; Payment processing is subject to the terms, conditions, and operational processes of the applicable third-party provider; ROCVEST shall not be responsible or liable for any failure, delay, error, reversal, or unauthorised transaction arising from the use of such third-party payment services.
18.4 Users are responsible for ensuring that all payment information provided is accurate and authorised.
19. DATA USAGE AND THIRD-PARTY SERVICES
19.1 ROCVEST may, subject to applicable law, use and disclose User information to selected third parties for purposes related to the functionality of the Platform and the provision of relevant services and opportunities. Such third parties may include, but are not limited to: Educational institutions; Tutors and service providers; Organisations offering academic, career, funding, or student-related opportunities.
19.2 The User acknowledges and agrees that such use and disclosure is necessary to enhance the services provided through the Platform and to connect Users with opportunities aligned to their academic profile and interests.
19.3 All disclosures shall be: Limited to what is reasonably necessary; Conducted in accordance with applicable data protection laws; Subject to appropriate confidentiality and security safeguards.
19.4 Further details regarding the processing and sharing of personal information are set out in the Privacy Policy.
20. BREACH
20.1 Any breach of these Terms entitles ROCVEST to: Suspend access; Claim damages; Seek legal relief.
21. GOVERNING LAW AND JURISDICTION
21.1 These Terms shall be governed by the laws of the Republic of South Africa.
21.2 Any disputes shall be subject to the jurisdiction of South African courts.
22. SEVERABILITY
22.1 If any provision is found invalid or unenforceable: Such provision shall be severed; The remaining provisions shall remain in force.
23. VARIATION
23.1 ROCVEST reserves the right to amend these Terms.
23.2 Updated Terms shall be published on the Platform.
24. ENTIRE AGREEMENT
24.1 These Terms, read with: The Privacy Policy; The Disclaimer Policy; The Data Retention Policy; constitute the entire agreement between the parties.
